Terms of Service

Welcome to Radic Advertising Technology Private Limited ("Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our AI-powered ad creative platform available at radic.ai ("Platform" or "Service"). By accessing or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, you must stop using the Platform.

We may update or modify the Service over time. Additional features and integrations will be introduced in future phases of the product. We will not materially degrade core features of your active subscription without notice.

3. Eligibility & Account Responsibilities

To use the Platform, you must:

Each subscription seat is assigned to one named individual user. Seats may not be shared between multiple individuals. You are responsible for all activity under your account and must notify us immediately of any unauthorised access at support@radic.ai. We may suspend or terminate accounts involved in false information, seat sharing, credential sharing, or violations of these Terms.

4. Beta Programme

Radic operates a free beta programme for a limited number of performance marketing agencies. By participating in the beta programme, you agree to the following terms in addition to the rest of this agreement.

4.1 Nature of the Beta

The beta programme provides early access to a pre-commercial version of the Radic platform. The product is not fully released and may contain bugs, incomplete features, or functionality that changes without notice. Beta agencies participate for the purpose of testing the platform and providing feedback, not as paying customers.

4.2 Access & Credits

Beta access is provided free of charge with a limited credit allocation. Credits are consumed per successful creative generation. Credits are not consumed on failed or incomplete generations resulting from platform errors or model failures. When credits are exhausted, generation stops. There is no automatic top-up and no compensation for unused credits at the end of the beta period.

4.3 Feedback

Participation in the beta programme implies willingness to share honest feedback on the product experience, creative quality, and platform usability. Radic may use this feedback to improve the platform without restriction. Radic will not publicly attribute feedback to your agency without your prior written consent.

4.4 Confidentiality

Beta agencies receive access to an unreleased product containing proprietary technology, features, and pricing that are not yet publicly available. You agree not to share, publish, or disclose screenshots, feature descriptions, product details, pricing information, or any other non-public information about the platform with any third party, including competitors, until Radic publicly launches its Alpha. This confidentiality obligation remains in effect until the Alpha launch is publicly announced by Radic.

4.5 No SLA or Uptime Guarantee

Radic does not provide any uptime commitment, support SLA, or service level guarantee during the beta period. The platform may be unavailable, modified, or taken offline at any time without prior notice.

4.6 No Warranty on Creative Output

Creatives generated during the beta period are produced by an AI system under active development. Radic makes no warranty or guarantee regarding creative quality, brand accuracy, or fitness for any particular purpose. Beta agencies may use generated creatives in live paid advertising campaigns at their own discretion and risk. Radic is not liable for any campaign outcomes, ad spend, or losses arising from the use of beta-generated creatives.

4.7 Early Termination

Radic reserves the right to end the beta programme or terminate any individual agency's beta access at any time, with or without cause, and with or without notice.

4.8 Conversion to Paid & Data Retention

Beta agencies who convert to a paid subscription will have all their data, brand context, and generated creatives retained and transferred to their paid account seamlessly. Beta agencies may be offered a discount on their first paid plan as a thank-you for their participation. Beta agencies who do not convert to a paid plan will be notified at the end of the beta period. Their data and generated creatives will be retained for 30 days from the end of the beta period and permanently deleted thereafter, unless earlier deletion is requested.

5. Subscription, Billing & Refund Policy

5.1 Subscription Plans

The Platform operates on monthly or annual subscription plans with a credit-based usage model. Available tiers and pricing are displayed on the radic.ai pricing page.

5.2 Billing

Payments are processed through a third-party payment gateway. By subscribing, you authorise recurring charges until you cancel your subscription.

5.3 Credits

Each subscription tier includes a monthly credit allocation. Credits are consumed per successful creative generation. Credits are not consumed on failed or incomplete generations resulting from platform errors or model failures. Unused credits do not roll over to the following month unless otherwise stated.

5.4 Refunds

Refunds are not automatically issued unless required by applicable law or explicitly offered. Partial mid-cycle refunds are generally not provided.

5.5 Taxes

You are responsible for all applicable taxes, duties, or government charges related to your subscription.

6. Intellectual Property & Ownership of Generated Creatives

6.1 Ownership of Generated Creatives

You retain full ownership of all ad creatives generated through the Platform using your brand data and inputs. Radic claims no ownership rights over creatives you generate.

6.2 Your Content & Agency Responsibilities

You retain ownership of all content, brand assets, and data you upload to the Platform ("User Content"). You grant Radic a non-exclusive, worldwide, royalty-free licence to host, process, and use User Content solely for the purpose of providing and improving the Service.

Where you use the Platform as an agency on behalf of client brands, you represent and warrant that: (a) you have the right and authorisation to submit your clients' brand data, assets, and ad account access to the Platform; (b) your clients have consented to such submission where required; and (c) Radic's processing of that data on your instruction does not violate any agreement between you and your clients. Radic takes no position on any dispute between an agency and its client regarding ownership of or rights to brand data stored in the Platform and will act solely on the instruction of the account holder.

6.3 Competitor Ads & Third-Party IP

The Platform displays competitor ads sourced from publicly available sources including Meta Ad Library and Google Ads Transparency Centre. These are provided for reference and creative inspiration only. Radic does not warrant that AI-generated creatives will not bear similarity to referenced competitor ads. You are solely responsible for ensuring that your final creatives do not infringe any third-party intellectual property rights before use in any live campaign.

6.4 User-Uploaded Third-Party Content

Where the Platform permits you to upload third-party content (including competitor ads, reference images, or brand assets belonging to a client), you confirm that you have the necessary rights or licences to upload and use that content within the Platform. Radic bears no liability for any claims arising from user-uploaded third-party content.

6.5 AI Model Training

As of the date of these Terms, Radic does not use your User Content or generated creatives to train or fine-tune AI models. If this practice changes, we will update this policy and notify you in advance, providing an opportunity to opt out.

6.6 Platform IP

All intellectual property in the Platform — including software, algorithms, AI models, UI, APIs, and documentation — is owned by Radic Advertising Technology Private Limited or its licensors. You may not reverse engineer, modify, or create derivative works without written permission.

6.7 Domain & URL Access Authorisation

By entering a domain or URL into the Platform (including for the Brand Fetch process), you confirm that you own that domain or have been authorised by its owner to submit it for analysis. You must not submit competitor domains or domains belonging to third parties without their explicit authorisation. Radic will use fetched data only to deliver the Service to you and will not access password-protected or restricted areas of any submitted domain.

The Platform is provided "AS IS" and "AS AVAILABLE". We do not guarantee accuracy, reliability, fitness for a particular purpose, or uninterrupted operation.

To the maximum extent permitted by applicable law, Radic is not liable for:

You agree to indemnify and hold harmless Radic Advertising Technology Private Limited, its directors, employees, and agents from any claims, damages, or expenses arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your infringement of any third-party rights; or (d) any dispute between you and a client whose brand data or ad account you have submitted to the Platform.

11. Termination & Suspension

We may suspend or terminate your access if:

Upon termination, your access to the Platform ends immediately. Data retention on termination is governed by Section 8 of the Privacy Policy. Provisions that by their nature survive termination (including IP, indemnification, and limitation of liability) remain in force.

12. Dispute Resolution

In the event of any dispute, claim, or disagreement arising from or relating to these Terms or the use of the Platform, both parties agree to first attempt to resolve the matter through good-faith negotiation for a period of 30 days from the date one party notifies the other of the dispute in writing. If the dispute is not resolved within this 30-day period, either party may pursue remedies through the courts as set out in Section 13.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes not resolved through the dispute resolution process in Section 12 fall under the exclusive jurisdiction of the courts in Hyderabad, Telangana.

14. Modification of Terms

We may update these Terms periodically. Updates will be posted on this page with a revised Effective Date. Continued use of the Platform after the updated Terms are posted constitutes acceptance of the changes.

15. Miscellaneous

15.1 Entire Agreement

These Terms and our Privacy Policy form the entire agreement between you and Radic.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force.

15.3 Waiver

No failure to enforce a provision constitutes a continuing waiver unless stated in writing.

15.4 Assignment

You may not transfer or assign these Terms without Radic's prior written consent.

15.5 Force Majeure

We are not liable for failures caused by events outside our reasonable control, including natural disasters, government actions, or infrastructure outages.
