Welcome to Radic Advertising Technology Private Limited (“Company”, “we”, “our”, or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our AI-powered Marketing-as-a-Service platform (“Platform” or “Service”).

By accessing or using the Platform, you (“User”, “you”, or “your”) agree to these Terms and our Privacy Policy. If you do not agree, you must stop using the Platform.

1. Introduction & Acceptance of Terms

These Terms form a binding agreement between you and Radic Advertising Technology Private Limited. They govern your use of our AI-driven creative generation, campaign optimization, and marketing analytics services.

You have read, understood, and agree to these Terms.
You are authorized to bind yourself or the entity you represent.

If you are acting on behalf of a company or agency, you confirm that you have the authority to bind that entity to this agreement.

2. Description of Services

We provide a SaaS platform that helps digital marketers, agencies, and brand owners generate, manage, and optimize marketing creatives using artificial intelligence.

AI-generated creatives (images, text, ad variants, etc.)
Campaign insights, performance tracking, and recommendations
Integrations with third-party platforms (e.g., Meta, Google Ads, Analytics, Razorpay)
Collaborative workspaces for agencies and clients

We may update or modify the Service at any time as long as changes do not materially degrade core features of your active subscription.

3. Eligibility & Account Responsibilities

To use the Platform, you must:

Be at least 18 years old;
Provide accurate and up-to-date registration information;
Maintain the confidentiality of your login credentials.

You are responsible for all activity under your account and must notify us of unauthorized access.

We may suspend or terminate accounts involved in false information, credential sharing, or violations of these Terms.

4. Subscription, Billing & Refund Policy

4.1 Subscription Plans

Our Platform operates on subscription plans (monthly, quarterly, annual) as displayed on our website.

4.2 Billing

Payments are processed through gateways such as Razorpay. You authorize recurring charges until you cancel your subscription.

4.3 Free Trials

Free trials convert automatically to paid plans unless cancelled before expiry.

4.4 Refunds

Refunds are not automatically issued unless required by law or explicitly offered. Partial mid-cycle refunds are generally not provided.

4.5 Taxes

You are responsible for applicable taxes, duties, or government charges related to your subscription.

5. User-Generated Content & License

5.1 Ownership

You retain ownership of all content (“User Content”) you upload or generate on the Platform.

5.2 License to Company

You grant us a non-exclusive, worldwide, royalty-free license to host, process, and display User Content for providing and improving the Service.

5.3 Responsibility

You are responsible for ensuring your content does not violate laws or rights.

5.4 Domain Access & Scraping Authorization

By entering any domain or URL into the Platform, you warrant you have rights to authorize us to access, crawl, scrape, and analyze publicly available data from that domain.

We will not access password-protected or restricted areas and will use scraped data only to deliver services. You are responsible for ensuring such access complies with third-party terms and legal obligations.

6. Intellectual-Property Ownership

All intellectual property in the Platform—including software, algorithms, UI, models, APIs, and documentation—is owned by Radic Advertising Technology Private Limited or its licensors.

You may not reverse engineer, modify, or create derivative works without written permission.

7. Third-Party Services & Integrations

The Platform integrates with third-party services such as Meta, Google Ads, Analytics, and Razorpay.

We do not control third-party services.
Your use of integrations is governed by their terms.
We are not liable for damages caused by third-party tools.

Enabling an integration constitutes consent to share required data.

8. Acceptable-Use Restrictions

You must not use the Platform to:

Upload infringing or unlawful content;
Distribute spam, malware, or deceptive material;
Interfere with security mechanisms;
Access the service using unauthorized bots or scrapers;
Reverse-engineer or replicate the Platform’s AI systems.

Violations may result in termination without refund and legal action.

9. Disclaimer of Warranties & Limitation of Liability

9.1 Disclaimer of Warranties

The Platform is provided “AS IS” and “AS AVAILABLE”. We do not guarantee accuracy, reliability, fitness for purpose, or uninterrupted operation.

9.2 Limitation of Liability

We are not liable for:

Indirect, incidental, or consequential damages;
Loss of profits, data, goodwill, or business interruption;
Amounts exceeding fees paid in the previous 3 months.

Liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify Radic Advertising Technology Private Limited from claims arising due to your use of the Platform, your violation of Terms, or infringement of third-party rights.

11. Termination & Suspension

We may suspend or terminate access if:

You violate these Terms;
You fail to pay required fees;
Required by law; or
Continued use poses security or operational risk.

Upon termination, access ends immediately, and certain provisions survive. No refunds are issued for unused subscription periods.

12. Governing Law & Jurisdiction

These Terms are governed by Indian law. Disputes fall under the exclusive jurisdiction of courts in Hyderabad, Telangana.

13. Modification of Terms

We may update these Terms periodically. Updates will be posted with a revised Effective Date. Continued use of the Platform indicates acceptance of modified Terms.

15. Miscellaneous

15.1 Entire Agreement

These Terms and our Privacy Policy form the entire agreement between you and the Company.

15.3 Waiver

No waiver constitutes a continuing waiver unless stated in writing.

15.4 Assignment

You may not transfer these Terms without our written consent.

15.5 Force Majeure

We are not liable for failures caused by events outside our control, such as natural disasters or government actions.
